By accessing or using the Dimensity Labs website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access or use our services.
We reserve the right to modify these terms at any time. Changes become effective immediately upon posting. Your continued use of our services constitutes acceptance of the revised terms.
Dimensity Labs provides digital product design, development, and consulting services including but not limited to web development, mobile application development, AI integration, UX design, and digital transformation consulting.
Specific deliverables, timelines, and fees for each project are defined in individual project agreements (Statements of Work) entered into between Dimensity Labs and the client.
Clients agree to provide timely feedback, approvals, and any materials necessary for project completion. Delays caused by the client may result in adjusted timelines and additional fees as outlined in the project agreement.
Clients are responsible for ensuring that any content, materials, or data they provide do not infringe on the intellectual property rights of third parties.
Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. Dimensity Labs retains the right to use general knowledge, skills, techniques, and experience gained during a project.
Dimensity Labs retains ownership of all proprietary tools, frameworks, libraries, and pre-existing intellectual property used in the delivery of services. Clients receive a perpetual, non-exclusive license to use such components as part of the delivered product.
Unless otherwise agreed in writing, Dimensity Labs reserves the right to showcase completed work in its portfolio and marketing materials.
Payment terms, including amounts, schedules, and methods, are defined in individual project agreements. Standard terms require a deposit before work begins, with remaining payments tied to project milestones.
Late payments may incur interest at 1.5% per month on the outstanding balance. Dimensity Labs reserves the right to pause work on a project if payments are overdue by more than 15 days.
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project. This obligation survives the termination of the project agreement.
Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
Dimensity Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.
Either party may terminate a project agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date.
Dimensity Labs will deliver all completed work and work-in-progress materials upon receipt of final payment.
Our services are provided on an "as-is" and "as-available" basis. Dimensity Labs makes no warranties, express or implied, regarding the suitability, reliability, or accuracy of our services.
While we strive for excellence in every project, we do not guarantee specific business outcomes, rankings, or performance metrics unless explicitly stated in a project agreement.
These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
